By accessing and using the Adiion website, platform services, and our flagship application, LoyaltyTown, you agree to comply with and be bound by these Terms of Service. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Description of Service
Adiion Digital Labs provides a Connected Product Cloud platform (LoyaltyTown) consisting of manufacturer portals, channel partner applications, QR code authentication databases, and ledger engines. Features are provided on a white-labeled software-as-a-service basis subject to separate enterprise subscription agreements.
3. Account Registration & Security
Users may need to register an account to access specific platform layers. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use.
4. Code of Conduct & Restrictions
You agree not to modify, reverse engineer, decompile, or disassemble any portion of the software, bypass security measures, scan for vulnerabilities, generate duplicate counterfeit QR signatures, or use automated scrapers to extract platform data.
5. Intellectual Property Rights
All trademarks, system designs, codebases, interfaces, logos, brand markers, and proprietary databases on this website and within LoyaltyTown are the exclusive intellectual property of Adiion Digital Labs or our parent entity, Bizspur Technologies. No license is granted herein unless explicitly stated.
6. User Contributed Content & Logs
When uploading catalog assets, warehouse records, or dealer credentials, you grant us a non-exclusive license to process and display this information solely to maintain active platform services as configured by your account admins.
7. Third-Party Integrations & Fees
The Platform connects with external integrations (such as ERP software, UPI gateways, and WhatsApp messaging clients). Each integration may operate under its own terms and payment rules. Adiion is not responsible for errors or fees incurred in third-party environments.
8. Disclaimer of Warranties
Our services and website are provided on an 'as-is' and 'as-available' basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Adiion Digital Labs and Bizspur Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your usage of the Platform.
10. Governing Law
These terms and any disputes arising out of or related to your use of this website shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
